1. Who these terms apply to
These Trade Terms govern every order placed on an approved trade account with Srri Easwari Marketing Sdn Bhd (201901026882), 9A, Jalan Anggerik Mokara 31/56, Kota Kemuning, 40460 Shah Alam, Selangor D.E.
They are accepted when you apply for a trade account, and they prevail over our general Terms & conditions wherever the two differ. Anything they do not cover falls back to those general terms.
2. This is a business contract
A trade account is opened for the purposes of your business. Orders placed on it are business-to-business, and the consumer protections that apply to retail customers — including the implied guarantees under the Consumer Protection Act 1999 — do not apply to them.
What replaces them is written below, and we would rather it were clear than generous-sounding and vague.
3. Opening and keeping an account
Accounts are approved at our discretion on the SSM registration, LHDN TIN and other details supplied at application. You confirm those details are accurate and will tell us if they change.
We may vary, suspend or close an account, and may decline any order. Tier pricing depends on rolling spend, is reviewed periodically, and can move down as well as up.
4. Ordering
The minimum order value on a trade account is RM1,000, excluding delivery. Orders below that are not accepted on trade terms — order through the retail store instead, or talk to the desk.
Minimum order quantities and case quantities also apply to some products and are shown on the product page. Orders are rounded up to the next whole case where a case quantity applies.
Orders cannot be cancelled once placed. We begin milling and picking immediately, and bulk is produced to order.
5. Lead times
Lead time is quoted per order, because bulk is ground to order and a 25 kg run is not the same as picking a jar. The desk confirms a date when your order is accepted.
Quoted dates are estimates made in good faith. We will tell you promptly if one slips, but we are not liable for loss caused by a delay.
6. Prices and quotations
Trade prices are quoted excluding tax and hold for the period stated on the quotation. Where no period is stated, a quotation is valid for 24hours.
Spice is a commodity and its prices move with the market and the harvest. Prices not covered by a live quotation may change without notice, though the price confirmed on your order is the price for that order.
Trade pricing is confidential and must not be shared outside your business.
7. Payment
Payment is by our payment gateway at the time of ordering, or on invoice within the credit period agreed for your account.
Credit is granted only after a trading history and is subject to a limit we set and may review at any time. Orders that would take the account past its limit are held until payment clears.
Interest of 1.5% per month may be charged on any balance outstanding after the due date. Overdue accounts may be suspended and returned to prepaid terms.
8. Title and risk
Risk in the goods passes to you on delivery or collection.
Title does not pass until we have been paid in full. Until then the goods remain ours, you hold them as bailee, you must keep them stored so they remain identifiable as ours, and we may enter the premises where they are held to recover them if the account falls seriously overdue or you become insolvent.
9. Delivery and collection
Free delivery within West Malaysia on orders of RM1,000 or more — which is every order that meets the minimum. Where an order falls below RM1,000 by agreement, delivery is charged at the courier’s rate and you choose the service at checkout.
East Malaysia and pallet freight are quoted per order.
Collection is available from Kota Kemuning, Monday to Friday 9:00am–5:00pm, by arrangement with the trade desk.
Check the delivery before signing for it. Shortages, damage and wrong items must be noted on the delivery order at the point of receipt and raised with the trade desk within 24 hours. We cannot investigate a shortage that was signed for as received complete.
10. Returns
There are no change-of-mind returns on a trade account. Everything we sell is food, and once it has left us we cannot know how it has been stored.
Where goods are defective, not to specification, short, or not what was ordered, tell us within 48 hours and we will replace them or credit the account.
11. Specification and natural variation
Ground spice is a natural product. Colour, aroma, mesh and moisture vary between batches and between harvests, within the tolerances on the specification sheet. Variation within those tolerances is not a defect.
Every product publishes its specification sheet and halal certificate, and every pack carries its batch and best-before date.
12. Halal
Our facility is certified by JAKIM. Certificates are published on each product page and are current at the time of publication.
Keeping product halal after it reaches you — storage, handling and segregation on your own premises — is your responsibility, and nothing in our certification extends to your site.
13. Allergens and your own food safety plan
Our facility is fully vegetarian and does not handle meat, fish, crustaceans or eggs. We do handle tree nuts, wheat (gluten), sesame and milk, so cross-contact with those is possible. A separate allergen-free facility is available on request.
If you are buying under your own food safety plan, satisfy yourself that our specification and allergen position meet it before you place a standing order.
14. Our liability
Our total liability for any order is limited to the price of that order.
We are not liable for indirect or consequential loss, including loss of profit, loss of contract, loss of production, or the cost of a recall, however it arises.
Nothing here limits liability that cannot lawfully be limited, including for death or personal injury caused by our negligence, or for fraud.
15. Ending the arrangement
Either of us may close the account on written notice. Closing it does not affect orders already accepted, or any balance owing.
16. Changes
We may update these Trade Terms. The version in force when your order is accepted governs that order. Material changes are notified to the email on your account.
17. Governing law
Malaysian law governs these terms, and the Malaysian courts have jurisdiction.
